Trading Terms & Conditions

Note: Payment from our stockists is not taken on-line, but invoiced through our standard process, as detailed below.

1. GENERAL

Oracstar is a division of Robimatic Ltd Registered No: 1507994. Registered office: Broomhouse Lane, Edlington, DN12 1ES. For the purpose of these terms and conditions all references to 'Oracstar' shall mean Robimatic Ltd. The following terms and conditions will always apply when an order is accepted unless special terms have been agreed in writing by a Director of Robimatic Ltd. These terms and conditions will not be superseded by the Customer's own terms.

2. SPECIAL CONDITIONS

In the event of the Customer's order form containing special printed conditions, the order for the goods will be accepted by Oracstar only on the understanding that these conditions are not at variance with Oracstar's own, or if there be any variance that such conditions have been waived by the Customer.

3. PRICES AND PRODUCTS

Oracstar reserves the right:

A. To alter prices without prior notice;

B. To substitute or change products or packaging without notice

All prices are exclusive of VAT at the rate applicable at the date of despatch.

4. PACKING

The cost of packing is included in the price of all consignments.

5. DELIVERY AND ORDERS

Method of delivery to the Customer shall be at Oracstar's election and cost will be charged extra on consignments (orders) under £150 (one hundred and fifty pounds) net invoice value (i.e. value after all discounts) at the rate of £5.00 per order. Orders under £50 will not be processed. Any orders received for products in less than pack quantities will be rounded up to the next highest pack quantity.

6. DELIVERY DATE

Delivery dates are given in good faith and as accurately as possible, but are not the essence of a contract.

7. DAMAGE IN TRANSIT

Oracstar will repair or replace free of charge any goods damaged in transit, provided that the carrier and Oracstar receive written notification of such damage within 3 (three) working days of delivery but not otherwise, and providing that nothing has been done or left undone which might invalidate any claim Oracstar may have on carriers.

8. DISPLAY UNITS

Display units not charged for, remain the property of Oracstar and shall be used for the display of Oracstar products only. Any stands provided and no longer required, shall be returned to Oracstar. Any stands not returned shall be invoiced to the Customer at the prevailing cost.

9. SHORTAGES

Shortages from packages must be notified to Oracstar in writing and to the carrier within 3 (three) working days of delivery. Returns will only be accepted by prior agreement and may be subject to a handling and re-stocking charge.

10. GUARANTEE

Products supplied by Oracstar are guaranteed against defective materials or workmanship for a period of twelve months from date of invoice. Oracstar undertake to replace any parts found to be of faulty manufacture or defective material, free of charge, at Oracstar's warehouse. Oracstar do not accept liability for general, special or consequential damage arising whether directly or indirectly from such faulty parts in any breach of contract.

11. SETTLEMENT

Terms are net monthly account and payment should reach us by the end of the month following invoice date.

12. OVERDUE ACCOUNTS

Interest will be charged on all overdue accounts at the rate of 5% (five) per month compound.

13. RISK AND RETENTION OF TITLE

Risk of damage to or loss of the goods shall pass to the Customer EITHER (if goods are to  be delivered at Oracstar's premises) at the time when Oracstar notifies the Customer that the goods are available for collection OR (if goods are to be delivered other than at Oracstar's premises) at the time of delivery or, if the Customer wrongfully fails to take delivery of the goods, the time when Oracstar has tendered delivery of the goods.

Notwithstanding delivery and the passing of risk in the goods, title of the goods shall not pass to the Customer until Oracstar has received, in cash or cleared funds, payment in full of the price of the goods and all other goods agreed to be sold by Oracstar to the Customer for which payment is then due.

Until such time as title to the goods passes to the Customer, Oracstar shall be entitled at any time to require the Customer to deliver up the goods to Oracstar and, if the Customer fails to do so forthwith, to enter upon any premises of the Customer or any third party where the goods are stored and repossess the goods.

On receipt of notice from Oracstar or the happening of any of the following events:

A. Any notice that a Receiver or Manager is to be, or has been appointed;

B. Any notice that a petition to wind up the Customer is to be, or has been presented;

C. Any decision by the Customer to make an arrangement with its creditors;

D. Any act of bankruptcy or insolvency committed by the Customer;

the Customer's authority to sell Oracstar's good shall be withdrawn. Oracstar shall be entitled any any time while monies under any contract are outstanding to notify the Customer of its intention to retake possession of its goods and shall have the right to enter the land or building of the Customer to take possession of its goods.

14. THIRD PARTY RIGHTS

For the avoidance of doubt nothing in these terms and conditions shall confer on any third party, any benefit or right to enforce any terms and conditions.

15. OTHER

All sizes shown on this website, or elsewhere are approximate and for guidance only.

All colours shown or listed on this website, or elsewhere are close as limitaions of the pricing process will allow.

Oracstar reserves the right to alter, cancel or substitute any product featured without notice. E & EO.
